1. Acceptance of Terms

By accessing or using EquipConnect ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Platform. We reserve the right to update these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.

2. User-Submitted Content

All equipment listings, descriptions, photographs, pricing information, and other content submitted to EquipConnect ("User Content") are provided solely by the user who submits them. By submitting User Content, you represent and warrant that:

• You are the owner of, or have full legal right to submit, all User Content.
• Your User Content does not infringe any third-party intellectual property rights, including copyrights, trademarks, or trade secrets.
• Your User Content was not copied, scraped, or otherwise taken from any third-party website or platform without explicit written authorization.
• Your User Content is accurate, truthful, and not misleading.

3. Prohibited Conduct — Scraping & Unauthorized Data Use

You expressly agree that you will not:

• Use any automated tool, bot, spider, scraper, or other means to extract, copy, or republish listings, data, images, or content from any third-party website or platform onto EquipConnect without that platform's explicit written consent.
• Import, upload, or post equipment listings, descriptions, or photographs that originated on another website or marketplace (including but not limited to MachineryTrader, IronPlanet, Craigslist, eBay, or similar platforms) without documented permission from both the original rights holder and that platform.
• Use EquipConnect to circumvent, violate, or interfere with the terms of service or intellectual property rights of any third party.
• Reproduce, redistribute, or commercially exploit any content obtained from third-party sources in violation of applicable law or those sources' terms of service.

Any violation of this section may result in immediate account suspension, removal of offending content, and potential legal action.

4. Intellectual Property

The EquipConnect platform, including its design, software, trademarks, and original content, is the exclusive property of EquipConnect and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.

You retain ownership of User Content you submit. By submitting User Content, you grant EquipConnect a non-exclusive, royalty-free, worldwide license to display, distribute, and promote that content solely in connection with operating the Platform.

5. Accuracy of Listings

EquipConnect does not independently verify the accuracy, completeness, or legality of any listing. Sellers are solely responsible for the truthfulness of their listings. Buyers are encouraged to independently verify all information before making purchasing decisions. EquipConnect disclaims all liability for any inaccuracies, misrepresentations, or disputes arising from individual listings.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EQUIPCONNECT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING DAMAGES ARISING FROM USER-SUBMITTED CONTENT, UNAUTHORIZED DATA USE BY THIRD PARTIES, OR TRANSACTIONS BETWEEN BUYERS AND SELLERS.

8. Indemnification

You agree to indemnify, defend, and hold harmless EquipConnect and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property or privacy rights.

9. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, third parties, or the Platform, or for any other reason at our sole discretion.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which EquipConnect is registered, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts of that jurisdiction.
